Terms governing use of the ParonSoft website and enquiries about our software engineering services.

1. About These Terms
These Terms of Service ("Terms") govern your access to and use of paronsoft.com (the "Website"), operated by ParonSoft Solutions Ltd. ("ParonSoft", "we", "us" or "our"), a software development company based in Bangladesh and serving clients in global markets.
By using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Website. If you use the Website for an organization, you confirm that you are authorized to act on its behalf in relation to your enquiry.
2. Our Services
ParonSoft provides custom software and enterprise applications, web and SaaS development, AI and automation, e-commerce solutions, mobile applications, dedicated offshore development teams, legacy application modernization, SQL Server and high-volume data solutions, and related analysis, architecture, testing, deployment, maintenance and support.
Descriptions on the Website explain our general capabilities. They are not a binding offer, quotation, guarantee of availability or commitment to deliver a particular feature, outcome, schedule or price.
3. Enquiries Do Not Create a Service Contract
Submitting a contact form, requesting a consultation, exchanging messages or attending an introductory meeting does not by itself create a client relationship, partnership, agency, employment relationship or binding obligation to provide services.
A software or dedicated-team engagement begins only when ParonSoft and the client enter into an authorized written agreement, proposal, statement of work, purchase order or other accepted contract. That agreement may define scope, deliverables, assumptions, responsibilities, staffing, fees, taxes, payment terms, schedule, acceptance, change control, confidentiality, data protection, security, warranties, support and termination. If a signed client agreement conflicts with these Website Terms, the client agreement controls for that engagement.
4. Estimates, Proposals and Project Changes
Any preliminary estimate or discussion is based on the information available at that time and may change after discovery or requirements analysis. Unless a written proposal states otherwise, quotations have the validity period shown in the proposal and exclude work outside the agreed scope.
Software projects evolve. Changes to requirements, integrations, dependencies, client-provided materials, acceptance criteria or delivery priorities may affect fees and timelines and will be managed under the applicable agreement or an agreed change process.
5. Client Responsibilities
For a contracted engagement, the client is generally responsible for providing timely and accurate requirements, decisions, access, credentials, content, test data, feedback and approvals identified in the applicable agreement. The client must have the necessary rights to all materials, data, software and systems it supplies or asks ParonSoft to use.
Unless expressly agreed in writing, the client remains responsible for its business decisions, regulatory requirements, end-user notices and consents, backups, production approvals and lawful use of the delivered solution.
6. Confidential Information and Enquiry Submissions
We treat legitimate business enquiries responsibly, but the public contact form is not intended for highly sensitive or regulated information. Do not submit passwords, private keys, production credentials, financial account details, government identification numbers, health records, confidential source code or trade secrets through the Website.
Where confidential disclosure is necessary, the parties may first sign a non-disclosure agreement and agree on a secure exchange method. Project confidentiality obligations are governed by the applicable signed agreement.
7. Intellectual Property
The Website, including its design, branding, logo, text, graphics, layout, code and other original content, is owned by or licensed to ParonSoft and is protected by applicable intellectual-property laws. You may view and print reasonable portions for internal evaluation of our services, but you may not copy, republish, sell, sublicense, scrape, distribute, modify or commercially exploit Website content without our prior written permission.
Ownership and licensing of project deliverables, source code, pre-existing tools, reusable components, third-party software, open-source software and client materials are not determined by these Website Terms. They will be defined in the applicable client agreement. Each party retains ownership of intellectual property it owned or developed independently before or outside an engagement unless expressly agreed otherwise.
8. Acceptable Use
You must not:
- use the Website for unlawful, fraudulent, abusive or misleading purposes;
- submit false information, impersonate another person or misrepresent your authority;
- attempt to bypass security controls, probe vulnerabilities or gain unauthorized access;
- introduce malware, harmful code, automated spam or an unreasonable technical load;
- interfere with the Website, its hosting, forms or other visitors;
- harvest personal information or use automated tools to scrape Website content without permission; or
- infringe the rights, confidentiality or intellectual property of ParonSoft or any third party.
We may restrict or block access where reasonably necessary to protect the Website, ParonSoft, our clients or other users.
9. Website Information and Availability
We aim to keep Website information accurate and useful, but technology, service capabilities and business information can change. The Website is provided on an “as available” basis for general information and business enquiries. To the extent permitted by law, we do not promise that it will always be uninterrupted, error-free, complete, current or free from harmful components.
Website articles and service pages do not constitute legal, financial, regulatory or other professional advice. You should obtain appropriate specialist advice for decisions that require it.
10. Third-Party Services and Links
The Website may link to third-party websites and uses external infrastructure or security services, including Cloudflare Turnstile for contact-form protection. Third-party services are governed by their own terms and privacy practices. A link does not mean that ParonSoft controls or endorses all third-party content, and we are not responsible for third-party websites or services.
11. Disclaimer and Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded. Subject to that qualification, ParonSoft is not liable for indirect, incidental, special, exemplary or consequential loss arising solely from use of, inability to use, or reliance on the public Website, including loss of profit, revenue, data, goodwill or business opportunity.
Terms concerning liability for paid software development, dedicated teams, support or other professional services are governed by the applicable signed client agreement rather than this Website provision. Rights that applicable consumer or other mandatory law does not allow the parties to exclude remain unaffected.
12. Privacy
Our Privacy Policy explains how we handle personal information submitted through the Website and related business-enquiry channels. By providing information, you confirm that it is accurate and that you are authorized to provide it.
13. Governing Law and Disputes
These Website Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles. Subject to any mandatory rights or jurisdiction that cannot lawfully be excluded, disputes concerning use of the Website will be subject to the competent courts of Bangladesh.
A separate client agreement may specify a different governing law, jurisdiction, arbitration process or dispute-resolution procedure for a particular international engagement.
14. Changes to These Terms
We may update these Terms to reflect changes to the Website, our services or applicable requirements. The revised Terms take effect when published on this page, unless a later date is stated. Your continued use of the Website after an update constitutes acceptance of the revised Terms.
15. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. A delay in enforcing a provision is not a waiver. These Terms do not create rights for a third party. Headings are included for convenience and do not affect interpretation.
